TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PHYSICS LAB PROVIDES ALL SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
WE SPECIFICALLY DISCLAIM:
- Any warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties regarding accuracy, reliability, or completeness of services
- Warranties that services will be uninterrupted, error-free, or secure
- Any warranties regarding results or performance outcomes
Limitation of Liability
IN NO EVENT SHALL PHYSICS LAB, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, use, or goodwill
- Business interruption or system failures
- Cost of substitute services or products
- Damages arising from third-party actions or content
OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE SIX MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
Consequential Damages Exclusion
We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including natural disasters, acts of government, war, riots, telecommunications failures, or internet service provider failures.
Legal Information and Dispute Resolution
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
Jurisdiction and Venue
You agree that any legal action or proceeding arising from these terms shall be brought exclusively in the state or federal courts located in Cambridge, Massachusetts, and you consent to the personal jurisdiction of such courts. You waive any objection to venue in these courts.
Dispute Resolution Procedures
Before initiating formal legal proceedings, the parties agree to attempt resolution through:
- Direct negotiation in good faith for a period of 30 days
- Mediation with a mutually agreed mediator if negotiation fails
- Arbitration or litigation only after exhausting the above options
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Additional Legal Provisions
Severability Clause
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.
Entire Agreement
These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and Terms of Service, constitute the entire agreement between you and Physics Lab regarding the subject matter herein and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
No Waiver
No waiver of any provision of these Terms and Conditions shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.
Assignment and Transfer
You may not assign, transfer, or delegate any of your rights or obligations under these Terms and Conditions without our prior written consent. We may freely assign or transfer our rights and obligations. Any attempted assignment in violation of this provision is void.
Survival of Terms
Provisions regarding intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and dispute resolution shall survive termination of these Terms and Conditions.
Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
Notice Requirements
Any notices required or permitted under these Terms and Conditions must be in writing and delivered by email to info@physics-la-b.com or by mail to our address listed above. Notices are deemed effective upon receipt.
Relationship of Parties
Nothing in these Terms and Conditions creates a partnership, joint venture, employment, or agency relationship between you and Physics Lab. You have no authority to bind Physics Lab or make commitments on our behalf.
Modification of Terms
Physics Lab reserves the right to modify these Terms and Conditions at any time. We will provide notice of material changes by:

- Sending email notification to registered users
- Displaying a prominent notice on our website
Your continued use of our services after such modifications constitutes acceptance of the updated Terms and Conditions. If you do not agree to the modifications, you must discontinue use of our services.
